These Terms of Service ("Terms", "Terms of Service") govern your use of the Adscriptly platform ("Service", "Platform") operated by Adscriptly ("us", "we", or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

1. DESCRIPTION OF SERVICE

Adscriptly is an AI-driven platform that transforms online advertising campaigns on Google Ads and Meta Ads into profit engines. Our Service acts as a "quality signal router," connecting real-world offline outcomes (such as qualified leads and revenue from converted deals) back to ad platforms, and leverages advanced AI agents to perform programmatic optimizations.

2. ACCOUNT REGISTRATION AND SECURITY

a) You must provide accurate, complete, and current information during registration
b) You are responsible for maintaining the confidentiality of your account credentials
c) You must notify us immediately of any unauthorized access to your account
d) You are responsible for all activities that occur under your account
e) We support multi-factor authentication (MFA) and strongly recommend enabling it

3. ACCEPTABLE USE

You agree to use Adscriptly only for lawful purposes and in accordance with these Terms. You agree not to:
a) Use the Service in any way that violates applicable laws or regulations
b) Transmit any material that is unlawful, offensive, or infringes on intellectual property rights
c) Attempt to gain unauthorized access to any portion of the Service or connected systems
d) Interfere with or disrupt the Service or servers/networks connected to the Service
e) Resell, redistribute, or create derivative works of the Service without express permission
f) Use the Service to send unsolicited communications or spam

4. DATA COLLECTION AND PRIVACY

a) We collect and process data as described in our Privacy Policy
b) Data collected includes:
   - Account information (name, email, company details)
   - Advertising platform credentials and permissions
   - Campaign performance data from connected ad platforms
   - Offline conversion data from integrated CRMs and business systems
   - Call recordings/transcripts (when phone integrations are enabled)
   - Lead quality signals and business outcomes

c) All data transmission is encrypted using TLS 1.3
d) Data at rest is protected with AES-256 encryption
e) We implement automated PII detection and redaction for sensitive information
f) You retain ownership of your data and can request deletion per our Privacy Policy

5. THIRD-PARTY INTEGRATIONS

a) Adscriptly integrates with various third-party services including:
   - Ad Platforms: Google Ads, Meta Ads
   - CRMs: Salesforce, HubSpot, GoHighLevel, Zoho, Pipedrive, and others
   - Phone Providers: CallRail, RingCentral, and others
   - Calendar and communication tools

b) Your use of third-party services is subject to their respective terms and policies
c) We are not responsible for third-party service availability or performance
d) You must maintain valid credentials and permissions for integrated services

6. AI AGENTS AND AUTOMATED ACTIONS

a) Adscriptly employs AI agents to perform automated optimizations
b) You maintain control over agent activation and permissions
c) You are responsible for reviewing and approving agent recommendations
d) We are not liable for campaign performance or results from automated actions
e) AI agents operate within the constraints you define in the platform

7. PAYMENT AND BILLING

a) Subscription fees are billed according to your selected plan
b) All fees are non-refundable unless otherwise stated
c) We reserve the right to modify pricing with 30 days notice
d) Failure to pay may result in service suspension or termination

8. DATA RETENTION AND DELETION

a) You can configure data retention policies within the platform
b) We automatically delete data according to your retention settings
c) Some data may be retained longer for legal or compliance purposes
d) Account deletion requests will be processed within 30 days

9. INTELLECTUAL PROPERTY

a) Adscriptly and its original content, features, and functionality are owned by us
b) You retain ownership of your data and content uploaded to the Service
c) You grant us a limited license to use your data solely to provide the Service
d) Our Service is protected by copyright, trademark, and other laws

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:
a) Uninterrupted or error-free service
b) Specific advertising performance or ROI
c) Accuracy of AI-generated insights or recommendations
d) Compatibility with all third-party services

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSCRIPTLY SHALL NOT BE LIABLE FOR:
a) Indirect, incidental, special, or consequential damages
b) Loss of profits, revenue, or data
c) Advertising spend or campaign performance
d) Third-party service failures or changes

Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Adscriptly from any claims, damages, or expenses arising from:
a) Your violation of these Terms
b) Your use of the Service
c) Your violation of any third-party rights
d) Content or data you provide to the Service

13. TERMINATION

a) Either party may terminate these Terms with 30 days written notice
b) We may suspend or terminate immediately for Terms violations
c) Upon termination, your access will be revoked and data deleted per our retention policy
d) Sections that by nature should survive termination will remain in effect

14. COMPLIANCE AND SECURITY

a) We maintain compliance with GDPR, SOC 2, and CCPA standards
b) Regular security audits and vulnerability assessments are performed
c) We maintain an incident response plan for security events
d) All sub-processors undergo security and privacy review

15. MODIFICATIONS TO TERMS

a) We reserve the right to modify these Terms at any time
b) Material changes will be notified via email with 30 days notice
c) Continued use after changes constitutes acceptance of new Terms
d) You may terminate if you disagree with material changes

16. GOVERNING LAW
